I think Overeem is going to win. I say that for three reasons. First his size, strength and height are going to make him a difficult opponent to man handle and control much like he had difficulty with Carwin. Secondly is Lesnar's own ability to take a punch which is really only average for a heavy weight fighter and Overeem can certainly throw some shots with power. Thirdly is the fact that Lesnar has been out of the picture and not fighting due to his more recent health issues.
Most fighters after a layoff start back with a lesser opponent so that they can ease back into things and because of ring rust and such. Overeem is anything but a lesser opponent and most fighters don't take a fight like this after a layoff without some other reason playing into it generally. I would imagine that Lesnar knows that if he can get past Overeem then he is right back in the title picture and that's the only reason I can see for him taking a fight like this.
While upsets do happen and he does have a chance I believe Overeem is favored given some of what I have said here and Lesnars recent health problems. Wanderlei Silva gave us all a surprise recently-we'll just have to wait and see if Lesnar can do the same.
while both fighters fold under pressure brock folds way worse and hates to get hit and if his game plan fails he has nothing else and is not as talented imo as overeem. Overeem is also very strong the strongest opponent lesnar will have faced and overeem is historically been hard to takedown until he gasses. He also is rarely out struck and he has way more power than carwin who power is overrated and way more power than cain. He also is much more deadly, accurate, versatile striker with deadly clinch game, deadly knees, and powerful hooks. Overeem is also a finisher and a guy who is aggressive and only has 1 way to win like brock is a ideal match up for overeem. Overeem does not just have to stop a takedown, lesnar takes a while to get into the rhythm of stopping someone via ground and pound. Brock's top control is vastly overrated and cain got to his feet using BJJ butter fly guard. Now lesnar is 11 years removed from his physical prime days of being a 260 pound lean wrestler and lesnar also has telegraphed mma takedowns and reem is just better everywhere.
Reem has better clinch game, can match brock's strength, is most powerful/technical striker lesnar has faced and is a more diverse and experienced & active fighter than lesnar. Reem however can easily lose if he gasses which is a very real possibility.

That really depends if Lesnar gets the take down, f he does its all him. If he cant (most likely) then Overeem is going to knock him out.
